Terms and Conditions

1. Definitions

Company, we, us or our means Reactiv Refrigeration & Air Conditioning Pty Ltd.

Client, you or your means the person, business, company, property manager, builder, tenant, owner, or representative engaging the Company. Works means all labour, services, attendance, diagnosis, repairs, installation, maintenance, materials, parts, equipment, reports, advice, and associated works supplied by the Company.

Site means the property, premises, building, plant area, roof space, ceiling space, tenancy, or location where the Works are carried out.

Existing Equipment means any system, unit, component, ductwork, pipework, wiring, controls, drainage, or infrastructure not supplied new by the Company as part of the agreed Works.

2. Scope of Works

Works are limited strictly to the agreed scope shown in the quotation, invoice, work order, email approval, or written instruction. Any item not expressly included is excluded. The Company does not warrant system performance where existing infrastructure is reused unless specifically stated in writing.

3. Quotations

Quotations are valid for 30 days from the date of issue unless otherwise stated. Pricing is based on visible and accessible site conditions at the time of quotation. The Company reserves the right to amend pricing where site conditions, equipment condition, access, availability, or scope differs from what was originally allowed for.

4. Variations & Unforeseen Conditions

Hidden damage, non-compliant installations, restricted access, latent defects, additional faults, client-requested changes, or any works outside the agreed scope will be treated as chargeable variations. Variations may be quoted separately or charged on a time and materials basis.

5. Payment Terms

Invoices are payable within 7 days unless otherwise agreed in writing. Deposits or progress claims may be required. The Company reserves the right to suspend works, withhold completion, or withhold supply of materials where payment terms are not met.

6. Ownership of Goods

All materials, parts, and equipment remain the property of the Company until paid in full. Where legally permissible, the Company reserves the right to recover unpaid goods or take action to protect its interest in supplied materials and equipment.

7. Warranty

7.1 Workmanship Warranty

Reactiv Refrigeration & Air Conditioning warrants the workmanship of installations carried out by its licensed technicians for a period of five (5) years from the date of practical completion.

This workmanship warranty applies only to defects arising directly from Reactiv's installation work, including:

Refrigerant pipework installed by Reactiv

Brazing and pipe connections completed by Reactiv

Condensate drainage installed by Reactiv

Electrical connections completed by Reactiv

Mounting systems, brackets, and supports installed by Reactiv

Ducting, trunking, and associated installation materials supplied and installed by Reactiv

Where a valid workmanship defect arises within the warranty period, Reactiv will rectify the defect at no charge.

7.2 Manufacturer Warranty

All equipment, units, components, and materials supplied are covered by the applicable manufacturer's warranty.

Manufacturer warranties are separate to Reactiv's workmanship warranty. Reactiv is not responsible for:

Manufacturer defects

Product failures unrelated to installation workmanship

Manufacturer warranty claim decisions

Parts availability or supply delays

Manufacturer repair or replacement timeframes

7.3 Mandatory Annual Service Requirement

The five (5) year workmanship warranty is conditional upon the system being serviced by Reactiv Refrigeration & Air Conditioning at least once every twelve (12) months from the installation date.

Annual servicing is chargeable at Reactiv's standard service rates and is not included in the installation price.

If a scheduled service is not completed within thirteen (13) months of:

The original installation date; or

The most recent Reactiv service,

the workmanship warranty will automatically lapse and cannot be reinstated.

The customer is solely responsible for booking annual maintenance services. Any service reminders provided by Reactiv are issued as a courtesy only and failure to receive a reminder does not extend the servicing requirement.

7.4 Existing Equipment

No warranty is provided for:

Existing equipment retained on site

Components not replaced during the works

Previous repairs carried out by others

Pre-existing damage

Corrosion or contamination

Defective electrical infrastructure

Existing drainage issues

Existing control system faults

Poor prior installation practices

Any pre-existing system defects

7.5 Systems Over 10 Years Old

Air conditioning systems exceeding ten (10) years of age are considered aged equipment and may be beyond their economic service life.

Repairs undertaken on aged systems are completed entirely at the customer's risk. Reactiv does not warrant or guarantee:

Future reliability

System longevity

Ongoing performance

Freedom from subsequent faults

7.6 Refrigerant Leaks

Leak detection and leak repairs are limited to the leak points identified at the time of attendance.

Reactiv does not warrant or guarantee:

Total refrigerant circuit integrity

Future leak prevention

Additional leak points not detected during attendance

Performance of systems affected by corrosion, contamination, deterioration, poor installation, or multiple leak locations

7.7 Exclusions

The workmanship warranty does not cover:

Equipment faults covered by manufacturer warranties

Damage resulting from misuse, abuse, neglect, or improper operation

Unauthorized modifications, alterations, or repairs

Work undertaken by parties other than Reactiv

Defects arising from existing infrastructure not installed by Reactiv

Storms, floods, fire, pests, vermin, lightning, power surges, electrical supply issues, or other events outside Reactiv's control

Dirty filters, blocked drains, lack of maintenance, or normal wear and tear

Corrosion caused by coastal or harsh environmental conditions beyond normal expectations

Systems relocated after installation

7.8 Warranty Void

The workmanship warranty will be immediately void where equipment has been:

Altered, modified, or tampered with

Repaired by another contractor without Reactiv's written approval

Operated contrary to manufacturer recommendations

Insufficiently maintained

Damaged by external causes or environmental conditions

Affected by electrical supply irregularities

Relocated following installation

7.9 Warranty Claims

Reactiv will assess the reported fault and determine whether the issue falls within the scope of this workmanship warranty. If the fault is found not to be covered, standard attendance, diagnostic, and repair charges may apply.

7.10 Transferability

This workmanship warranty applies only to the original customer and the original installation address.

The warranty is not transferable to subsequent owners or occupants unless expressly agreed by Reactiv in writing.

7.11 Australian Consumer Law

Nothing in these Terms and Conditions excludes, restricts, or modifies any rights or remedies available under the Australian Consumer Law.

The benefits provided by this warranty are in addition to any consumer guarantees and rights available under applicable legislation.

8. Pre-Existing Faults & System Condition

The Company is not liable for pre-existing faults, latent defects, hidden damage, poor prior workmanship, non-compliant installations, aged components, or failures that occur following repair due to the underlying condition of the system.

9. Performance Disclaimer

The Company does not guarantee system capacity, airflow, temperature control, drainage performance, energy efficiency, or reliability where existing ductwork, pipework, electrical supply, controls, insulation, ventilation, building condition, heat load, or equipment age affects performance.

10. Access & Safety

The Client must provide safe, clear, and reasonable access to the Site and all work areas. Additional charges may apply for restricted access, delays, inductions, permits, unsafe conditions, after-hours access, parking, or access equipment requirements. The Company may stop works where safety is compromised.

11. Exclusions

Unless expressly included in writing, Works exclude:

Electrical upgrades, switchboard works, mains power upgrades, or dedicated circuits

Structural works, penetrations, building modifications, or engineering

Patching, painting, plastering, carpentry, tiling, or cosmetic finishes

Roof works, flashing, waterproofing, or roof membrane repairs

Scaffolding, boom lifts, scissor lifts, cranes, traffic control, or specialist access equipment

Works by builders, electricians, plumbers, roofers, fire contractors, or other trades

Removal of hazardous materials, asbestos, mould, pests, or contaminated materials

Repairs to existing concealed pipework, ductwork, wiring, drains, controls, or building services unless stated

12. Damage & Building Finishes

The Client acknowledges that service, repair, and installation works may require access through ceiling spaces, walls, roofs, risers, plant areas, or confined spaces. The Company is not responsible for cosmetic damage, brittle materials, aged finishes, existing defects, or reinstatement unless expressly included.

13. Delays & External Factors

The Company is not liable for delays caused by weather, supplier shortages, manufacturer delays, site access restrictions, client delays, third-party contractors, approvals, permits, unsafe conditions, or events outside the Company’s control.

14. Completion & Acceptance

Works are deemed complete upon practical completion. Any concerns must be raised in writing within 5 business days of completion or invoice issue. Failure to do so constitutes acceptance that the Works have been completed satisfactorily.

15. Liability

To the maximum extent permitted by law, the Company’s liability is limited to the value of the Works supplied. The Company is not liable for indirect loss, consequential loss, loss of income, loss of business, product loss, stock loss, downtime, loss of use, or damage arising from system failure outside the agreed scope.

16. Debt Recovery

The Client is liable for all reasonable costs associated with overdue accounts and debt recovery, including legal fees, collection agency fees, administrative costs, and enforcement costs.

17. Governing Law

These Terms & Conditions are governed by the laws of New South Wales, Australia
